About YT Consultancy
We are a lawyer-run consultancy firm that specializes in advising on asset management, trust set-up and regulatory compliance related matters. We have a particular focus on advising asset managers and financial planners on compliance issues and providing them with legal consultancy support. With our in-depth knowledge and expertise, we aim to provide insightful and responsive advice to achieve a cost effective and practical support to our clients.
Asset Management and Trust Set-up
We have fund and trust specialists who can assist you and your clients in setting up Cayman Islands and British Virgin Islands offshore investment fund vehicles as well as trust vehicles in all jurisdictions (including stand-by trust, living trust and foundation companies) . We have an extensive network of service providers and professional trustees who will be able to provide a comprehensive service for you and your clients.
Commercial and Compliance
We facilitate corporates in building their company structures and assist shareholders with writing their shareholders agreement. Our consultants can act as your in-house legal counsel assisting your company with reviewing contracts, agreements, and documents. Our experienced in-house experts have prior legal and compliance work experiences in SFC-licensed entities (including Types 1, 4, 6 and 9 regulated activities).
Research Report
Our legally trained staff can provide you with research services and issue research summary report discussing a specific matter which concerns your business. These include whether certain conducts or commercial activities may violate the SFC’s code of conduct, and our insights on how upcoming policies and legislations may impact the way you conduct businesses in Hong Kong and worldwide.
Intellectual Property
Our network of intellectual property attorneys provides global intellectual property advisory services, such as Hong Kong and worldwide trademark registration and protection, trademark portfolio advisory, trademark prosecution and online platform (e.g. Facebook, Amazon) takedown advisory services.
Monthly Retainer
Our legal counsel secondment offering is a flat monthly fee service at your convenience which provides an in-house legal counsel function that satisfies your business’ day-to-day needs for legal support in Hong Kong at a predictable cost with the benefit of not having a permanent head count. The service provides comprehensive commercial document drafting support to the company’s owners, board of directors, executive management on matters covering intellectual property, human resources, administrative, finance, asset management and compliance in Hong Kong and worldwide.The following can be included in a flat fee arrangement:1. Preparation, review and negotiation of commercial contracts with customers, strategic partners, vendors, landlords, consultants, and other business partners, including confidentiality agreements.2. Commercial contracts management (implement standard commercial agreements/programs for customers, strategic partners and vendors and establish standard contracting processes and controls).3. General day-to-day legal advice and counseling on general and industry-specific legal issues, with particular expertise in the financial services, asset management (including PE firms and fund houses), family offices, start-ups, and the Internet and e-commerce industries.4. Participate in and support the company’s strategic planning as requested.5. Assistance with financing strategies and negotiation of term sheets.6. Routine banking agreements, such as basic lines of credit.7. General employment matters.8. Management of legal subject matter experts (both within and outside of firm) and other outside consultants to obtain timely and accurate advice and manage cost.9. Legal support for launch of new product offerings.
